VALA further postpones circular on Shouhui Kaizhuo settlement; new dispatch deadline set for 15 June 2026

Vala Inc. (VALA) announced a second delay in sending its shareholder circular related to the Settlement Agreement concerning Shouhui Kaizhuo. The company now expects to dispatch the document on or before 15 June 2026, extending the deadline from the previously disclosed 15 May 2026.

According to the filing, additional time is needed to prepare and finalise information for inclusion in the circular. The document will contain: 1) further details of the Settlement Agreement; 2) an independent financial adviser’s opinion to the Independent Board Committee and Independent Shareholders; 3) the Independent Board Committee’s recommendation; and 4) the notice of the extraordinary general meeting.

The board comprises Chairman and CEO Sun Haitao, Executive Director Wu Shan, Non-executive Director Zou Yunli, and Independent Non-executive Directors Ye Xiang, Xu Xuchu and Shou Jian.

No other changes to the terms of the Settlement Agreement or transaction structure were disclosed in the announcement dated 15 May 2026.
