Touyun Biotech Details Allocation of HK$15.01 Million Share Subscription Proceeds

Touyun Biotech Group Limited has released a supplemental announcement clarifying the deployment of funds raised from its share subscription disclosed on 25 August 2026.

The transaction is expected to generate gross proceeds of HK$15.01 million, with estimated net proceeds of HK$14.99 million after expenses. Management plans to deploy the entire amount by 31 December 2026 under the following framework:

• HK$7.00 million (46.7% of net proceeds) will be injected as additional capital into Ronghe Shidai (Chongqing) New Material Technology Co., Ltd., an indirect non-wholly-owned subsidiary focused on research, production and sales of high-thermal-conductivity new materials. The funds will finance construction of a new production line to meet current and anticipated market demand.

• HK$4.00 million (26.7%) is earmarked for settling outstanding payables, strengthening the Group’s balance-sheet position.

• HK$3.99 million (26.6%) will serve as general working capital, covering staff costs, audit and professional fees, and routine office and operational expenses.

No other terms of the original subscription announcement have been revised. The Board, chaired by Wang Liang, confirms that all other information previously disclosed remains unchanged.
