LEGENDARY Education Group Limited will hold its annual general meeting on 29 September 2026 at 15:00 (Hong Kong time) in Kwun Tong. Key resolutions include:
• Share Issue and Repurchase Mandates – Directors request a fresh 20% general mandate to allot and issue up to 91.73 million new shares (based on 458.66 million shares in issue and no treasury shares). – A separate 10% mandate would allow on-market repurchases of up to 45.87 million shares. – An extension mandate would add the number of repurchased shares to the issue limit.
• Board Composition – Non-executive directors Mr Law Wing Chung, Dr Tang Sing Hing Kenny and Ms Mak Louisa Ming Sze, and independent non-executive director Mr Chung Kwok Pan, retire by rotation and seek re-election.
• Auditor – Re-appointment of Kenswick CPA Limited is proposed, with an estimated FY27 audit fee of approximately HK$1.30 million.
• Constitution Update – Adoption of a third amended and restated Memorandum and Articles aimed at aligning with new GEM Listing Rules, hybrid meeting provisions, electronic communication, treasury-share rules and future uncertificated market requirements.
• Administrative Details – Shareholders may vote in person or by proxy; proxy forms must reach Union Registrars no later than 48 hours before the meeting. – Register of members closes 24–29 September 2026 (both days inclusive); record date is 29 September 2026.
If passed, the new mandates will remain in force until the next AGM, the mandated timeframe under Cayman Islands law, or revocation by shareholders—whichever occurs first.
