理士国际(00842)3月10日晚间公告，关于拟分拆旗下公司赴美上市及向股东分派股份的计划，目前相关申请仍在审核阶段。分拆公司已于2025年12月30日就建议分拆向美国证券交易委员会(SEC)递交Form 20-F注册声明，正接受监管部门审阅。 公告指出，自2025年12月19日起生效的纳斯达克规则IM-5101-3引入基于风险的审查框架，令部分首次上市申请需接受更严格、耗时更长的审核。公司预计，上述监管变化可能导致分拆上市的审核周期延长。 公司强调，拟议中的分拆及分派仍需取得多方批准，包括股东大会批准、美国相关监管机构批复、董事会及分拆公司董事会的最终决定，且受市场状况及其他因素影响。目前尚无法保证分拆及分派的实施及时间表。 理士国际提醒股东及潜在投资者在买卖公司股份时保持谨慎，并表示如相关事项有进一步进展，将及时发布公告。 截至本公告日期，理士国际董事会执行董事包括董李博士、吴扣月先生及洪渝女士；独立非执行董事为曹亦雄先生、刘智杰先生及卢志强先生。
