Ganfeng Lithium Issues Supplemental Circular Detailing Proposed Remuneration Amendments Ahead of 29 June EGM

Ganfeng Lithium circulated a supplemental notice on 11 June 2026 outlining an additional agenda item for the extraordinary general meeting (EGM) scheduled at 14:00 on 29 June 2026 in Xinyu, Jiangxi Province.

The new resolution seeks shareholder approval—by ordinary resolution—for amendments to the Remuneration Management System governing directors and senior management. Key revisions include:

• Clearer principles for pay determination, emphasising strategic alignment, market benchmarks, incentive-restraint balance and regulatory compliance.

• A defined remuneration mix for senior management—basic salary, performance-based pay (minimum 50 % of total annual salary) and medium-/long-term incentives such as restricted shares, options or ESOPs.

• Enhanced performance assessment criteria linking both annual and term evaluations to company targets, with rigid enforcement measures that allow remuneration claw-backs or reductions in cases of misconduct, financial restatements or regulatory penalties.

• Explicit rules that independent directors receive fixed allowances only, while non-executive directors serving full-time roles in the company draw compensation solely from their managerial positions.

The supplemental proposal was submitted on 9 June 2026 by Chairman Li Liangbin, the company’s largest shareholder (holding more than 1 % of total shares), in accordance with Article 52 of the Articles of Association.

Proxy Arrangements H-shareholders intending to vote must lodge both the original proxy form (dated 8 June 2026) and the new supplemental proxy form with Computershare Hong Kong Investor Services by 14:00 on 28 June 2026. Completion of both forms does not preclude shareholders from attending and voting in person.

Voting will be conducted by poll, and no shareholder is required to abstain. Poll results will be released through the Hong Kong Stock Exchange following the meeting.
