合丰集团（02320）在最新公告中披露，董事会拟于即将召开的股东周年大会上寻求授予一般性授权，以回购不超过公司已发行股本（不含库存股份）10%的股份。根据资料，截至最后实际可行日期，公司已发行股本总数为8.17644亿股，此次回购计划最高可能涉及约8176.44万股。
公告称，董事会认为适度的股份回购可增强投资者信心，维护公司及股东整体利益，并在市场环境适宜时灵活实施，以提升每股资产净值及收益。所需资金预计将从公司内部分配或合法可用之其他来源支付，并遵循香港联合交易所上市规则及开曼群岛法律的相关规定。
股东周年大会定于2026年6月8日（星期一）上午10时30分在香港九龙弥敦道20号香港喜来登酒店4楼清厅举行，计划就回购股份的授权决议进行表决。公司将于2026年6月3日（星期三）至6月8日（星期一）期间暂停办理股份过户登记，有意参会并于会上投票的股东须在此之前完成股份过户手续。委托代表投票的股东，须在6月6日（星期六）上午10时30分前提交代表委任表格。
公司强调，此次股份回购授权的最终通过与执行，仍以股东周年大会的审议及表决结果为准。
