Befar Group to Convene Extraordinary Shareholders’ Meeting on 27 October 2026

Befar Group Co., Ltd. has issued a proxy form outlining the agenda for an Extraordinary Shareholders’ Meeting (ESM) scheduled for 2:30 p.m. on Tuesday, 27 October 2026, at the company’s conference room in Binzhou, Shandong Province.

The meeting will ask shareholders to vote on four resolutions:

1. Ordinary Resolution: Elect Mr. Sun Huiqing as an executive director for the sixth board session.

2. Ordinary Resolution: Authorise the Group to conduct futures and derivatives hedging activities.

3. Ordinary Resolution: Approve the re-appointment of the company’s auditor for the 2026 fiscal year.

4. Special Resolution: Approve proposed amendments to the Articles of Association.

Shareholders may appoint the ESM chairman or another proxy to vote on their behalf. Proxy forms and, where applicable, accompanying notarised powers of attorney must be lodged with Computershare Hong Kong Investor Services Limited no less than 24 hours before the meeting. H-shareholders who attend in person will supersede previously submitted proxies.

Only the first-named holder in the register of members is entitled to vote in the case of joint holdings. The company notes that votes marked “abstain” will count toward the quorum and majority calculation, while unmarked or unclear votes will also be treated as abstentions.
