Joy Spreader to Replace Existing Charter with Fourth Amended M&A, Seeks Shareholder Approval at Forthcoming AGM

Joy Spreader Group Inc. announced a proposal to substitute its current memorandum and articles of association with a fourth amended and restated version.

The revision aims to streamline compliance with Hong Kong’s expanded paperless-listing framework and to enable electronic dissemination of corporate communications, as stipulated by the Listing Rules of The Stock Exchange of Hong Kong Limited.

Implementation requires a special resolution from shareholders at the company’s upcoming annual general meeting. If approved, the new memorandum and articles of association will become effective immediately after the vote.

A circular detailing the full text of the proposed amendments, together with the AGM notice and proxy form, will be dispatched to shareholders in due course.

The board currently consists of three executive directors—Zhu Zinan, Cheng Lin and Qin Jiaxin—non-executive director Wang Hongpeng, and independent non-executive directors Li Chenji, Huang Boyang and Fang Hongwei. The announcement was issued in Beijing on 4 June 2026 and signed by Chairman Zhu Zinan.
