2026年7月16日，智升集团控股有限公司（08370，下称“公司”或“智升集团”）公布最新业务进展。公司董事会在自愿公告中披露，其拟作为新认购期权标的的目标公司已于2026年7月15日收到中标通知，预计将在一个月内与一家顶尖互联网公司签署最终托管服务协议，合约价值介乎15亿至16亿美元。
公告回顾了公司此前于2025年6月19日、2025年12月10日、2026年3月27日、2026年4月14日及2026年6月2日发布的相关通知，内容涉及订立6月认购期权契据及新认购期权契据、目标公司向投资者配发及发行新股份的融资安排，以及项目进展情况。
智升集团表示，由于目标公司目前并非集团成员，公司是否从上述最终协议中获益，仍取决于目标公司的融资与运营状况以及新认购期权的行使及完成。
公司强调，如就最终协议的签署出现重大进展，将按照要求及时发布进一步公告。公司提醒股东及潜在投资者于买卖公司证券时保持审慎。
本次公告由行政总裁兼执行董事赖宁宁代表董事会签署，日期为2026年7月16日。
