Homeland Interactive Technology Ltd. announced that its Board resolved on 30 March 2026 to overhaul the company’s constitutional documents in response to recent Hong Kong Stock Exchange (HKEX) rule changes aimed at expanding the paperless listing regime.
The proposal involves: 1. Amending the existing second amended and restated Memorandum and Articles of Association (M&A) to align with HKEX requirements issued in June 2023 and January 2025, which mandate: • Electronic dissemination of corporate communications; and • Capability to conduct hybrid shareholder meetings with electronic voting.
2. Adopting a consolidated third amended and restated M&A incorporating all changes (the “Amended M&A”), which will replace the current version in its entirety.
Implementation of the Amended M&A is contingent on shareholder approval via special resolution at the forthcoming annual general meeting (AGM). A circular detailing the proposed amendments and the AGM notice will be published and, if requested, despatched to shareholders.
The Board is chaired by Mr. Wu Chengze, with executive directors Mr. Su Bo and Mr. Ding Chunlong, and independent non-executive directors Mr. Zhang Yuguo, Mr. Hu Yangyang and Ms. Guo Ying.
