GOLDENPOWER completes HK$7.78 million share placement; new investor secures 16.67% stake

Golden Power Group Holdings Limited (GOLDENPOWER) has finalised a share subscription under its general mandate, issuing 6.48 million new shares at HK$1.20 each on 19 May 2026.

The placement expands the company’s share capital from 32.40 million to 38.88 million shares, with the new shares accounting for 20.00% of the pre-subscription base and 16.67% of the enlarged total. The subscriber consequently becomes a substantial shareholder and is classified as a connected person under the Listing Rules.

Gross proceeds amount to HK$7.78 million, while net proceeds are approximately HK$7.70 million. Management plans to allocate the funds as follows: • HK$3.10 million (40%) to develop and expand specialty battery technologies—particularly for healthcare devices—and to upgrade artificial-intelligence-enabled production facilities. • HK$3.10 million (40%) to repay banking facilities maturing within six months. • HK$1.50 million (20%) for general working capital.

Post-transaction shareholding shifts notably: • Golden Villa Ltd. (beneficial owner: Chairman Mr. Chu King Tien) falls from 42.15% to 35.13%. • Lofty Islet Holding Ltd. remains at 13.89%. • Public shareholders decline from 35.54% to 29.61%. • The new subscriber enters with 16.67%.

The board of directors remains unchanged, comprising four executive directors and three independent non-executive directors.
