TIANYE WATER Moves to Revise Articles of Association, Broadens and Standardises Business Scope Ahead of AGM Vote

Hong Kong – 30 April 2026 – TIANYE WATER (Xinjiang Tianye Water Saving Irrigation System Company Limited) has released a board resolution proposing comprehensive amendments to its Articles of Association aimed at updating and standardising the company’s business scope in line with the latest regulatory requirements of the market-supervision authorities.

The proposed revisions shift the current, highly detailed description of operations to a two-tier structure—“Ordinary” and “Permitted” business items. Key updates include:

• Ordinary items: expanded coverage of technical services, R&D, software development, Internet-of-Things services, information system integration, production and sale of plastic, rubber and metal products, fertiliser manufacturing, agricultural machinery production and leasing, solar power generation services, supply-chain management, and diversified agricultural cultivation and processing activities. • Permitted items: wholesale and retail of pesticides, construction works, road freight transport (excluding dangerous goods), construction engineering design, food sales, and livestock and poultry breeding—each subject to obtaining relevant regulatory approvals.

The board stated that these changes will align TIANYE WATER’s charter with current regulatory frameworks while providing greater operational flexibility. Implementation of the amendments is contingent upon shareholder approval via special resolution at the upcoming Annual General Meeting. A circular detailing the proposed changes—along with the AGM notice—will be distributed to shareholders in due course.

The board comprises four executive directors (Zhou Gang, Jiang Dayong, Wang Dongwei and Li Zheng) and three independent non-executive directors (Gu Li, Hung Ee Tek and He Xinlin). The directors unanimously believe that adopting the revised Articles of Association serves the best interests of both the company and its shareholders.
