Vanke Endorses Comprehensive 2026 Remuneration Framework, Schedules 2025 AGM for 29 May 2026

China Vanke Co., Ltd. announced that its Board of Directors, at the 33rd meeting of the 20th session on 8 May 2026, unanimously (8–0) approved three key resolutions related to governance and remuneration policies. All directors participated via telecommunication, and the meeting complied with PRC corporate laws and the company’s Articles of Association.

The Board endorsed a new Remuneration Management System for directors and senior management. The framework introduces: • A three-part pay structure—basic salary, performance-based remuneration, and medium- to long-term incentives (equity or tenure-linked). • A mandatory linkage whereby performance-based pay must represent at least 50% of total cash compensation and is adjusted downward if corporate results turn from profit to loss. • A claw-back mechanism permitting suspension or recovery of prior payouts in the event of financial restatements, misconduct, or regulatory breaches. • Differentiated treatment: independent directors receive a fixed annual allowance; non-executive directors not employed by the company may receive an allowance only; executive directors and senior management are evaluated under the full performance system.

Concurrently, the Board approved the 2026 Remuneration Proposal, which applies the new framework to the coming fiscal year. Independent director fees and non-executive director allowances will continue on a monthly basis until a revised scale is ratified by shareholders. Executive directors and senior managers will receive basic salary plus performance-linked pay, with the variable component remaining at or above the 50% threshold. All figures are stated pre-tax, and payments will be prorated upon any change of tenure.

Both the management system and the directors’ remuneration plan will be submitted to the forthcoming general meeting for shareholder approval. The senior management plan becomes effective upon Board approval.

Finally, the Board resolved to convene the company’s 2025 Annual General Meeting at 3:00 p.m. on Friday, 29 May 2026, at Vanke Center, No. 33 Huanmei Road, Dameisha, Yantian District, Shenzhen. Notices have been published on the HKEXnews website.

As of the announcement date, the Board comprises three non-executive directors (Huang Liping, Hu Guobin, Lei Jiangsong), one executive director (Wang Yun), and four independent non-executive directors (Liu Tsz Bun Bennett, Lim Ming Yan, Dr. Shum Heung Yeung Harry, Zhang Yichen).
