Graphex Granted HKEX Waiver to 30 June 2026 for Re-Compliance with INED Quota and Gender Diversity Rules

Graphex Group Limited announced that Hong Kong Exchanges and Clearing Limited has approved its application to extend the grace period for re-compliance with Listing Rules 3.10(1), 3.10A, 3.21 and 13.92(2). The deadline is now 30 June 2026, pushed back from 9 April 2026.

The company currently falls short of: • The minimum three independent non-executive directors (INEDs) required under Rules 3.10(1) and 3.10A. • The minimum three-member Audit Committee under Rule 3.21. • The board gender diversity requirement under Rule 13.92(2).

Background events triggering the shortfall include the passing of INED Ms. Tam Ip Fong Sin on 10 January 2026 and the resignation of INED Mr. Wang Yuncai on 5 February 2026. Subsequent appointments on 25 March 2026 added Mr. Zhao Aiyong as an Executive Director and Mr. Ren Chunyu as an INED and member of the Audit, Nomination and Remuneration Committees, yet the Board remains one INED short and lacks female representation.

Graphex stated it continues to seek a suitable female candidate to fill the outstanding INED position and restore full compliance. Further announcements will be released in accordance with HKEX requirements.

As of 16 April 2026, the Board comprises four executive directors—Mr. Lau Hing Tat Patrick (Chairman), Mr. Chan Yick Yan Andross, Mr. Qiu Bin and Mr. Zhao Aiyong—one non-executive director, Mr. Ma Lida, and two INEDs, Mr. Liu Kwong Sang and Mr. Ren Chunyu.
