XINHUA LANDE (08106) announced that on February 11, 2026, the company entered into six separate subscription agreements with six subscribers. The company has conditionally agreed to allot and issue a total of 55.17 million H shares at a subscription price of HK$0.31 per H share. The H share subscription shares will be allotted and issued under a general mandate.

The six subscribers will collectively subscribe for 55.17 million H shares, with a total face value of RMB 5.517 million. This represents approximately 21.05% of the company's total issued H share capital as of the date of this announcement, and approximately 17.39% of the company's issued H share capital as enlarged after the completion of the subscriptions. It also represents approximately 10.89% of the company's total issued share capital as of the announcement date, and approximately 9.82% of the total issued share capital as enlarged after the subscriptions.

The net proceeds from the subscription matters, after deducting all applicable costs and expenses, are expected to be approximately HK$16.71 million.
