CASH (1049) Announces Discloseable Transaction for Office Lease Renewal

Celestial Asia Securities Holdings Limited (CASH, 1049) announced that its wholly owned subsidiary, Champion Ford Limited, entered into a renewal offer letter on 22 October 2025 with Manhattan Development Limited (as agent of Pioneer Crest Limited) to renew the lease of the entire 28/F at Manhattan Place in Kowloon Bay. The lease term runs from 21 November 2025 to 14 December 2027.

The aggregate consideration for rent and related costs is approximately HK$8.8 million. In line with HKFRS 16, the right-of-use asset to be recognized under this renewal is approximately HK$8.5 million, with a 4.125% discount rate applied. The transaction constitutes a discloseable transaction under Chapter 14 of the Listing Rules given its applicable percentage ratios exceed 5% but remain below 25%.

According to the announcement, the existing lease on the premises will expire on 14 December 2025. The office is situated in a centrally developed commercial zone, and continuing the lease is seen as an efficient choice in terms of cost and operations. Champion Ford Limited’s main activity is the provision of management services, while the broader group operates retail management and financial services businesses. The renewal agreement reflects a market-aligned rental rate based on comparable properties nearby.
