吉盛集团控股（08133）发布公告称，因供股条件未能达成，公司与配售代理已于2026年5月22日交易时段后订立终止协议，双方同意即时终止配售协议。配售协议终止后不再具有任何效力，且双方均无需就此承担责任。基于此，董事会已决议供股失效，截至公告日期，公司尚未根据供股发行任何证券。
公告指出，尽管供股及配售协议终止，建议股本重组将继续进行。董事会认为，股本重组独立于供股，不以供股完成为条件，此举将为公司提供更大灵活性，以便日后适时开展筹资活动及企业行动。
关于通函寄发安排，公司澄清将继续寄发仅载有股本重组详细资料及股东特别大会通告的通函，预计于2026年6月30日（星期二）或之前寄发。由于供股终止，原预期时间表将予以修订，经修订的股本重组预期时间表将载于通函内。
董事会表示，终止配售协议及供股不会对集团业务营运、财务状况或现有业务造成即时重大不利影响。公司或会制定替代方案或修订原拟由供股所得款项资助的业务计划，并将在日后适时考虑筹资活动。
