HKC International Holdings Limited released its AGM circular dated 22 July 2026 outlining four key resolutions for shareholder voting at the forthcoming annual general meeting scheduled for 4:30 p.m. on 28 August 2026 at the company’s Hong Kong headquarters.
Key Proposals
1. Director Re-elections • Six directors are due for rotation and have offered themselves for re-election: – Executive Directors: Chan Chung Yee Hubert (Chairman & CEO), Chan Chung Yin Roy, and Lam Man Hau. – Independent Non-executive Directors (INEDs): Dr. Chu Chor Lup (25 years on the Board), Dr. Law Ka Hung (14 years), and Wong Kwok Leung. • In line with the Corporate Governance Code, separate resolutions will be tabled for the re-appointment of Dr. Chu and Dr. Law, each having served more than nine years.
2. Renewal of General Share Issuance Mandate • Directors seek authorisation to allot, issue or deal with shares up to 20% of issued share capital as at the AGM date. • Based on 233.50 million shares in issue on the latest practicable date (17 July 2026), the mandate would permit issuance of up to 46.70 million new shares. • The Board stated it has no immediate plans to issue new shares under this mandate.
3. Auditor Re-appointment • SHINEWING (HK) CPA Limited is nominated for re-appointment as external auditor for the year ending 31 March 2027. • Subject to shareholder approval and an unchanged audit scope, the audit fee is estimated at HK$0.60 million.
