SMIT (02239) announced the completion of its subsidiary's sale of a 16% equity interest in S2C Shanghai. All conditions precedent under the share transfer agreement (as amended and supplemented by the supplemental agreement dated December 3, 2025) have been fulfilled or waived (where applicable). The transaction was finalized on December 5, 2025, in accordance with the terms and conditions of the agreement. Following the completion, S2C Holding retains a 13.75% stake in S2C Shanghai.
