On 6 March 2026, China Carbon Neutral Development Group Limited (stock code: 01372, “C CARBONNEUTRAL”) entered into a subscription agreement with a subscriber, EcoRise Solutions Company Limited, for 40.00 million new shares at HK$1.00 per share. These subscription shares represent approximately 5.93% of the company’s existing issued share capital and 5.59% of its enlarged issued share capital upon completion.

The subscription price reflects an approximately 11.50% discount to the closing price of HK$1.13 on the date of the agreement and an approximately 12.43% discount to the five-day average price of HK$1.14. The total proceeds of HK$40.00 million will be used primarily to support business expansion (80%) and debt repayment (20%). Subject to the Stock Exchange granting listing approval and maintaining sufficient public float, completion is scheduled within ten business days after conditions are fulfilled.

The company will issue the new shares under the general mandate granted at its annual general meeting on 26 November 2025, which authorized up to 128.59 million new shares. Immediately after the transaction, the company’s total issued shares will increase from 674.96 million to 714.96 million.

In the past twelve months, C CARBONNEUTRAL raised HK$23.58 million through a share subscription completed on 2 April 2025 and issued convertible bonds in January 2026 for debt settlement. In January 2026, the company also issued 32.00 million new shares under a general mandate, raising HK$48.00 million for general working capital and debt repayment, of which HK$32.62 million remained unutilized as of 28 February 2026.

According to the board, the group focuses on carbon credit asset trading and development, digital technology initiatives to build a green finance data network, battery recycling, and ecological governance projects. The company believes that the share issue will strengthen its capital for expansion and improve its financial structure.
