GBA AI COMP raises HK$277.54 million via issuance of 23.62 million new shares; public float remains above 25%

Greater Bay Area AI Computing Tech Co., Ltd. (GBA AI COMP) completed its share placement on 7 July 2026, issuing 23.62 million new shares under the general mandate after all conditions precedent were fulfilled.

The new shares were allotted at HK$11.75 each, implying gross proceeds of approximately HK$277.54 million. The placement marginally diluted existing shareholders and expanded the company’s issued share capital to 1.58 billion shares from 1.56 billion.

Subscription allocation • Subscriber A: 4.90 million shares (0.31% of enlarged capital) • Subscriber B: 1.70 million shares (0.11%) • Subscriber C: 6.81 million shares (0.43%) • Subscriber D: 5.11 million shares (0.32%) • Subscriber E: 5.11 million shares (0.32%)

Post-placement shareholding • China Guangdong–Hong Kong Greater Bay Area Holdings: 26.18% (down from 26.58%) • Champion Road Group: 19.58% (down from 19.87%) • Other public shareholders: 52.75% (previously 53.55%)

The board confirmed that the company’s public float remains comfortably above the Hong Kong Stock Exchange’s 25% requirement following the transaction.
