上海复旦张江生物医药股份有限公司与招商银行(3968.HK, 600036.SH)订立了两份结构性存款产品协议。根据公告，复旦张江及其全资子公司泰州复旦张江分别认购人民币0.50亿元和0.60亿元的结构性存款，合计金额达人民币1.10亿元。
本次结构性存款产品均为保本浮动收益型，挂钩黄金价格，产品期限为83天，预期年化收益率在1.00%至1.65%之间。协议约定的具体收益率取决于期末黄金价格是否大于或等于期初价格减去515，若期末价格低于该区间则年化收益率为1.00%，高于或等于该区间则年化收益率为1.65%。
本次认购所使用的资金均来自日常营运产生的自有闲置资金。根据公告，董事会认为这有助于提升复旦张江整体资金回报，同时仍能有效保持资金安全与流动性，不需额外遵守独立股东批准规定。
根据香港联合交易所有限公司证券上市规则第14章的要求，上述交易需合并计算。因相关适用百分比率超过5%但低于25%，该笔交易构成须予披露的交易，已按照相关规定进行申报和公告。
