Leader Education Limited (1449) announced that its consolidated affiliated entity, Heilongjiang College of Business and Technology, entered into a finance lease agreement and a special item agreement with Haitong Unitrust (1905) on 27 October 2025. The arrangement involves the sale and leaseback of certain teaching, cooking, and server equipment (the Leased Assets), resulting in a total sale price of RMB30 million and a deposit of RMB150,000.

Under the agreement, Haitong Unitrust will pay the sale price (less the deposit) in a lump sum to Heilongjiang College of Business and Technology within 30 business days after certain conditions are met. Ownership of the Leased Assets will transfer to Haitong Unitrust upon payment, with an option to transfer the ownership back at the end of the 36-month lease term for a nominal RMB100 fee. The total lease payment is set at approximately RMB33.72 million, subject to quarterly adjustments based on the one-year loan prime rate, to be paid in 12 installments.

Guarantees are provided by several parties, including the company’s Chairman and Chief Executive Officer, and other related entities. The transaction constitutes a discloseable transaction under Chapter 14 of the Listing Rules, as the highest applicable percentage ratio exceeds 5% but is below 25%. According to the announcement, the finance lease arrangement provides additional financial resources for campus construction and general working capital without materially affecting the group’s operations, as there is no change in the physical use of the assets. The directors view the terms as fair and reasonable and in the overall interest of shareholders.
