普源精电科技股份有限公司（00537）8月8日公告称，公司董事会审议通过《关于调整2024年限制性股票激励计划回购价格及回购注销部分第一类限制性股票的议案》，拟回购注销97,984股第一类限制性股票。
本次回购价格因2026年6月18日实施的每股0.40元现金分红而调整：回购事业合伙人限制性股票的价格由17.63元/股下调至17.23元/股，回购企业合伙人限制性股票的价格由19.48元/股下调至19.08元/股。
回购注销原因包括公司2025年度未达业绩考核目标值、激励对象离职及个人绩效考核不达标等，涉及股份数量分别为33,793股、63,649股（含离职和绩效考核因素）和279股。
公司将以自有资金支付回购款，预计使用资金约1,741,285.32元，并按《激励计划（草案）》承担部分激励对象的同期银行存款利息。
回购注销完成后，公司A股总股本将由193,874,417股减少至193,776,433股，其中有限售条件股份由7,957,455股降至7,859,471股。公司表示，本次股本变动后股权分布仍符合上市条件，激励计划将继续执行。
