Beijing Chunlizhengda Medical Instruments Co., Ltd. (trading as CHUNLI MEDICAL) has issued a notice convening its 2025 Annual General Meeting (AGM) for 2:00 p.m. on Tuesday, 26 May 2026, at the company’s Tongzhou District headquarters in Beijing.
Key ordinary resolutions will ask shareholders to: • approve the 2025 annual report and financial statements; • endorse the 2025 profit-distribution plan; • review the performance report of independent non-executive directors; • ratify the board of directors’ 2025 report; • set directors’ remuneration for 2026; and • confirm the appointment of domestic, overseas and internal-control auditors for 2026.
A special resolution will empower the board with a general mandate to repurchase up to 10% of the company’s H shares in issue on the approval date. The mandate allows directors to determine pricing, timing and volume, handle regulatory filings, cancel repurchased shares, adjust registered capital and amend the articles of association accordingly. The authority expires at the earlier of the 2026 AGM or a shareholder-approved revocation.
Shareholders recorded in the H-share register by the close of business on 19 May 2026 will be eligible to attend and vote. Proxy forms must reach Tricor Investor Services Limited at Far East Finance Centre, Hong Kong, at least 24 hours before the meeting. All resolutions will be decided by poll under Hong Kong Listing Rule 13.39(4).
