迪诺斯环保（01452）7月31日公告称，公司已向股东寄发关于「（1）根据特别授权进行的关连交易——股份认购；及（2）申请清洗豁免」之通函。
通函主要载列以下内容： 1. 股份认购（包括股份认购协议、拟进行的交易及特别授权）及清洗豁免的详细信息； 2. 独立董事委员会就上述事项向独立股东发出的意见函； 3. 独立财务顾问就上述事项向独立董事委员会及独立股东提供的意见函； 4. 股东特别大会通告及委任代表表格。
公司将于2026年8月21日（星期五）上午10时30分，在中国北京市丰台区南四环西路128号院2号楼12层1506-1室（邮编：100070）召开股东特别大会。会议相关事宜已在通函中说明。
迪诺斯环保提示，股份认购的完成须待股份认购协议所载全部先决条件达成方可作实；并且清洗豁免的生效需在股东特别大会上分别以独立股东不少于75%及逾50%有效表决票数通过清洗豁免及股份认购后，方可落实。
