Eternity Investment (764) Announces Disposal of Yunfeng Financial (376) Shares

Eternity Investment (764) reported that its wholly-owned subsidiary disposed of 332,000 shares in Yunfeng Financial (376) on the open market on 25 November 2025. The average selling price stood at approximately HK$3.64 per share, resulting in a total consideration of about HK$1,209,800 (excluding transaction costs). According to the announcement, these shares had an unaudited carrying amount of HK$345,280 as of 31 December 2024.

This transaction follows previous disposals conducted between late April 2025 and late November 2025, during which Eternity Investment subsidiaries sold an aggregate of 4,922,000 Yunfeng Financial shares for a total of HK$17,896,440 (excluding transaction costs). When aggregated, the latest and previous disposals surpass 5% but remain under 25% in terms of the relevant applicable percentage ratios, thus qualifying as a discloseable transaction under Chapter 14 of the Listing Rules.

Upon completion of the sale, Eternity Investment holds no remaining Yunfeng Financial shares. A gain of approximately HK$864,520 (before taxation) is expected, reflecting the difference between the carrying amount of the shares and the final consideration. The proceeds are allocated toward general working capital. Yunfeng Financial (376) is a Hong Kong-incorporated investment holding company with subsidiaries involved in long-term assurance, securities brokerage, asset management, fintech, and principal investment.
