新火科技控股有限公司（股份代号：1611）于香港联合交易所主板上市，公司董事会近日发布公告称，股东周年大会将审议并授权董事在香港联交所购回不超过已发行股份总数10%的股份。基于最后实际可行日期，公司已发行股份约为7.52亿股，最高回购规模约可达7522.77万股。
公司表示，本次购回所需资金将来自可动用的营运资金或合法来源，并符合英属处女群岛适用法律及香港上市规则的相关要求。董事会认为，适度的股份回购有助于提升公司每股收益及增强股东回报，符合公司及股东整体利益。
公告显示，新火科技控股有限公司近期股价的12个月区间在约1.28港元至8.17港元之间，公司提醒股东及投资者注意市场波动。如购回授权获股东批准，授权有效期至下届股东周年大会结束或公司根据细则及法律规定须举行下届股东周年大会之期限届满止。
公司同时披露，股东周年大会定于2026年2月27日于香港举行，董事会建议股东在大会召开前办理相关过户登记手续。董事会强调，此次股份购回计划旨在优化资本结构、增进股东价值，并非提供任何投资意见。股东可于法定时限内提交表决或出席大会进行投票。
