Autostreets Plans Director Re-elections, 10% Buyback Mandate and New Share Award Scheme

Autostreets Development Limited will hold its 2026 annual general meeting (AGM) on 30 June 2026 in Shanghai. Key proposals include:

• Board Changes: Shareholders will vote on the re-election of executive director Mr. Yang Aihua, non-executive director Mr. Rob Huting and independent non-executive director Ms. Li Mochou.

• Auditor: The board proposes re-appointing Ernst & Young as auditor for another year at an estimated audit fee of RMB 2.20 million.

• Share Mandates: – Repurchase mandate of up to 10% of issued shares, equivalent to 83.27 million shares based on the current 832.66 million share capital. – Issuance mandate of up to 20% of issued shares, or 166.53 million shares, with an additional extension equal to shares repurchased.

• 2026 Share Award Scheme: – Ten-year term starting from the adoption date, subject to shareholder and Stock Exchange approval. – Overall limit set at 10% of issued shares (83.27 million shares). – Separate 1% sub-limit (8.33 million shares) for awards to service providers. – Standard minimum vesting period of 12 months, with limited exceptions; performance targets may be imposed at the board’s discretion.

Administrative Details: The share register will close from 25 June to 30 June 2026. Proxy forms must be lodged by 9:30 a.m. on 28 June 2026 (Hong Kong time). All resolutions will be decided by poll.
