SHENZHENEXPRESS AGM Clears All Resolutions; Approves RMB0.244 Final Dividend Payable by 25 Aug 2026

Shenzhen Expressway Corporation Limited (SHENZHENEXPRESS) secured strong shareholder support at its 2025 Annual General Meeting on 26 June 2026, with every item on the agenda passing comfortably via poll.

Robust shareholder turnout • 162 shareholders, representing 1.99 billion shares or 78.23% of total voting rights, participated in person or by proxy. • Total shares outstanding stand at 2.54 billion, split between 1.79 billion A-shares and 747.50 million H-shares.

Voting results • Six core ordinary resolutions—including the 2025 Board Report, remuneration framework for directors and senior management, 2025 profit distribution, the 2026 budget, auditor appointment and a guarantee mandate—each received at least 99.68% approval, except the 2026 budget, which still passed with 97.23% support. • Eleven sub-resolutions authorising a general mandate for debenture issuance likewise passed, all garnering 99.69% affirmative votes.

Dividend confirmed • A final dividend of RMB0.244 per share (before tax) for FY 2025 was ratified. • H-share holders will receive HK$0.280561 per share, based on the average PBoC RMB/HKD midpoint rate over the five trading days prior to declaration (RMB100 = HK$86.9686). • Key dates: books close 7–13 July 2026; record date 13 July 2026; payment on or before 25 August 2026. • Mainland enterprise shareholders of H-shares will face a 10% withholding tax, while individual H-share investors will generally be subject to 10% personal income tax, in line with prevailing PRC tax rules. Southbound Trading investors will receive dividends in RMB, with domestic individuals and funds subject to 20% withholding.

Corporate governance notes • Nine of 12 directors attended the AGM on-site or via electronic means. • Computershare Hong Kong Investor Services acted as scrutineer for H-share voting, while Beijing Grandway (Shenzhen) Law Firm provided legal oversight of the meeting.

All approved mandates provide the Board with flexibility on remuneration, financing and capital management as the company enters the 2026 financial year.
