BASECARE-B (02170) Plans to Buy Back H-Shares for Up to RMB 5 Million

BASECARE-B (02170) has announced that its board of directors is pleased to declare its intention to exercise its powers under the buyback mandate, and the company will from time to time repurchase H-shares on the open market in accordance with market conditions and the terms of the buyback mandate, in an amount not exceeding RMB 5 million (the Share Buyback Plan).

The Share Buyback Plan is based on the confidence of the management team, the company's current operational growth prospects and financial position, while taking into account recent market conditions. The company intends to fund the Share Buyback Plan with its own financial resources rather than the proceeds from the listing of H-shares on The Stock Exchange of Hong Kong Limited. The board of directors believes that the current trading price of the H-shares undervalues the company's intrinsic value and business prospects, and that the Share Buyback Plan will enhance shareholder value. The Share Buyback Plan reflects the board's confidence in the company's long-term development and will only be implemented when the board considers it appropriate and in the overall interests of the company and its shareholders. The company will exercise the buyback mandate in accordance with its articles of association, the Listing Rules, the Codes on Takeovers and Mergers and Share Buy-backs, and all applicable laws and regulations.
