ZTO Express-W disclosed in a Next Day Disclosure Return (dated 19 August 2026) that the company repurchased 300 American depositary shares (ADSs) on 18 August 2026 in New York at USD 23.00 each, spending USD 6,899.01.
Including four earlier repurchases between 12–17 August 2026, a total of 728,168 ADSs—each equivalent to one Class A ordinary share—have been bought back but have not yet been cancelled.
• Capital structure: 557.33 million Class A ordinary shares and 206.10 million Class B ordinary shares remain in issue, leaving the total share count unchanged at 763.43 million.
• Buy-back mandate: The current authority, granted on 16 June 2026, permits the repurchase of up to 76.60 million shares. To date, 3.30 million shares (0.43 % of issued shares when the mandate was granted) have been repurchased under this mandate.
• Moratorium: In accordance with Hong Kong listing rules, ZTO may not issue new shares or transfer treasury shares until 17 September 2026—30 days after the latest repurchase.
The company confirmed that all repurchases complied with both Hong Kong and U.S. exchange regulations and that no changes have occurred in the particulars of its April 2026 explanatory statement.
