Li Auto Inc. conducted an on-market repurchase of 2.16 million Class A weighted-voting rights (WVR) ordinary shares on 29 June 2026, according to its Next Day Disclosure Return filed with the Hong Kong Stock Exchange on 29 June 2026.
The shares were bought back on the exchange at prices ranging from HKD 45.94 to HKD 46.52, for a volume-weighted average cost of HKD 46.22 per share. Aggregate consideration amounted to HKD 100.00 million. All repurchased shares are being held in treasury.
Following the transaction, Li Auto’s outstanding issued share capital (excluding treasury shares) declined by 2.16 million shares, or 0.12%, to 1.75 billion shares. Treasury stock rose to 60.22 million shares, leaving the company’s total issued share count unchanged at 1.81 billion.
The buyback forms part of the mandate approved by shareholders on 29 May 2026, which authorises repurchases of up to 214.28 million shares. Cumulative purchases under this mandate now stand at 40.63 million shares, representing 1.90% of the shares outstanding on the mandate date. In line with Hong Kong listing rules, Li Auto is subject to a moratorium on issuing new shares or disposing of treasury shares until 29 July 2026.
Joint Company Secretary Wang Yang confirmed that the repurchase complied with Main Board Rule 10.06 and that no material changes have occurred to the company’s previously filed explanatory statement.
