中生联合（03332）7月24日晚间公告称，董事会已决议动用储备弥补截至2025年12月31日的累计亏损，相关议案尚待股东于临时股东大会以普通决议案批准。
公司披露，母公司层面的累计亏损为3.06亿元（折合306.0百万元）。为抵销该项亏损，公司拟动用资本储备2.587亿元（258.7百万元）及法定盈余储备47.3百万元，合计3.06亿元。上述资本储备全部源于股东现金出资形成的股份溢价，法定盈余储备则来源于历史利润留存。
若动用储备方案获准并执行，截至2025年12月31日，母公司资本储备将由5.442亿元（544.2百万元）降至约2.855亿元（285.5百万元），法定盈余储备将降至零；同时，母公司层面的累计亏损将转为0元。
公司表示，此举旨在提升为投资者创造回报的能力，支持企业高质量发展。关于动用储备的详细资料及临时股东大会通知，公司将适时向股东寄发通函。
