NEW FOCUS AUTO (00360) announced that on December 30, 2025, its non-wholly-owned subsidiary, NFA Technology (Shanghai), successfully won the bid for the land use rights through a public tender process at a cost of RMB 46.34 million. The land, identified as parcel number QPC1-0011 Unit H-27-13, is situated in the Qingpu District of Shanghai, China. On the same day, NFA Technology (Shanghai) entered into a Land Use Rights Transfer Contract with the Shanghai Qingpu District Planning and Natural Resources Bureau to formalize the acquisition.
The acquired land is a plot located within the Xianghuaqiao Street area of Qingpu District, Shanghai. Its specific boundaries are defined as follows: to the east by plots H-27-07b and H-27-08, to the south by the Luxingjing waterway, to the west by the Zhaotun Port, and to the north by Tianying Road. The total land area spans approximately 38,600 square meters.
In May 2024, the Group received a notice of expropriation from the Shanghai Qingpu Industrial Park Expropriation Compensation Office. Subsequently, on November 22, 2024, the Group's manufacturing operating entity, NFA Optoelectronics (Shanghai), signed an expropriation compensation agreement with the Qingpu Industrial Park Group. The expropriated property served as the primary operational and production site for NFA Optoelectronics (Shanghai), and its acquisition is expected to disrupt the continuity and stability of the subsidiary's production and business operations.
Consequently, the Group has an urgent need to procure new land to deploy related production and operational facilities, thereby ensuring the normal continuation of its business activities. Furthermore, this acquisition also helps fulfill the requirements stipulated in the supplementary agreement to the capital increase pact disclosed in the company's announcement dated December 30, 2025, which mandates that NFA Optoelectronics (Shanghai) maintains a production base in Shanghai, China.
