China Uptown Issues Revised Proxy Form Ahead of 8 May 2026 AGM

China Uptown has circulated a revised proxy form for the annual general meeting (AGM) scheduled for 11:00 a.m. on 8 May 2026 at Room 1201, 12/F, 29 Austin Road, Kowloon, Hong Kong.

Key matters shareholders will vote on include:

• 2025 Financial Statements: Adoption of the audited consolidated results and the accompanying directors’ and auditor’s reports for the financial year ended 31 December 2025.

• Board Composition: – Re-election of directors: Executive directors Ms. Wu Yanhua, Mr. Liu Jian Hui and Mr. Qian Sheng Hua; independent non-executive director Mr. Su Zhi Jie. – Authorisation for the board to set directors’ remuneration.

• Auditor: Re-appointment of McMillan Woods (Hong Kong) CPA Limited and authorisation for the board to determine its fees.

• Share Capital Mandates: – General mandate empowering directors to allot, issue and deal with additional shares. – General mandate authorising repurchase of shares. – Extension of the issuance mandate by the amount of shares repurchased under the above buy-back authority.

Shareholders who wish to appoint proxies must submit the revised form to Union Registrars Limited, Suites 3301-04, 33/F, Two Chinachem Exchange Square, 338 King’s Road, North Point, Hong Kong, no later than 48 hours before the meeting. Completion of the proxy form does not preclude shareholders from attending and voting in person, in which case the submitted proxy will be revoked.
