China Modern Dairy Holdings Ltd. (CH MODERN D) announced that independent non-executive director (INED) Mr. Chow Ming Sang has been mentioned in a Statement of Disciplinary Action released by Hong Kong Exchanges and Clearing Limited on 28 July 2026, but faces no penalty. The disclosure is made under Listing Rules 13.51B(2) and 13.51(2)(n)(iv).
The Stock Exchange found Redco Healthy Living Company Limited (Redco; stock code 2370) in breach of multiple Listing Rules, citing failures to: 1. Announce a RMB0.10 billion earnest-money advance to an entity. 2. Disclose and seek adviser consultation on a guarantee that constituted a disclosable transaction. 3. Comply with announcement, circular, written-agreement and independent-shareholder approval requirements regarding RMB61.50 million in earnest monies paid to its parent group, classified as both advance and connected transactions.
Two Redco executive directors, Mr. Tang Chengyong and Ms. Wong Yin Man, were found to have breached their duties of skill, care and diligence under Rules 3.08 and 3.09B(2). Sanctions and directions were imposed on Redco and these two executives only. Mr. Chow, who has served as Redco’s INED since 14 March 2022, will resign from that role effective 31 July 2026 and is not subject to any disciplinary action.
CH MODERN D affirmed that the Redco matter is unrelated to its own operations and will not affect Mr. Chow’s performance of his duties on the Modern Dairy board. No additional information requiring disclosure under Rule 13.51B(2) has been identified.
