创升控股（Innovax Holdings Limited）8日与要约人王庭发联合发布综合文件及接纳及过户表格，披露王庭发已透过高鉦证券有限公司提出无条件强制性现金要约，收购除其及一致行动人士已拥有或同意收购之外的所有已发行股份，每股作价6.00港元。
要约现已无附带条件，所有股东均可于2026年4月29日（星期三）下午4时前，将填妥的接纳表格连同股份证明文件交回股份过户登记处——联合集团登记有限公司（香港北角英皇道338号华懋交易广场二期33楼3301-04室）。
根据条款，过户登记处在收到完整有效文件后，要约人将在7个营业日内按“只准入抬头人帐户”划线支票方式向股东支付对价，并代为办理印花税事宜。
公告提醒境外股东，接纳要约前须遵守当地相关法律法规并自行承担可能产生的税项或费用。
此次要约完成后，创升控股股份将过户至要约人或其指定人士名下，且有关股份将连同自综合文件寄发日及之后宣派的任何股息或分派一并转让。
