OOIL (316) Announces SGM Poll Results and Approval of All Resolutions

Orient Overseas (International) Limited (stock code: 316) held a Special General Meeting (SGM) on 28 October 2025. Independent shareholders voted on four resolutions related to the Bunker Service, Terminal Service, Non-exempt Equipment Procurement Service, and Deposit Service. Each resolution was approved by poll.

According to the announcement, the total number of issued shares stood at 660,373,297. Faulkner, holding 469,344,972 shares, abstained from voting; thus, 191,028,325 shares were eligible to vote. The announcement highlighted that 129,876,317 shares were present with voting rights at the meeting.

Under the Bunker Service, Terminal Service, and Non-exempt Equipment Procurement Service resolutions, all votes were in favor with no objections recorded. The Deposit Service resolution passed with 129,874,181 votes in favor and 2,136 votes against.

The board emphasized that all resolutions were approved as ordinary resolutions by the independent shareholders. A representative share registrar served as scrutineer for the poll, and directors of the company were in attendance at the SGM.
