MAXICITY: GreenAir Raises Stake to 83.50% After HK$22.24 Million Mandatory Cash Offer; Public Float Drops to 16.50%

GreenAir Energy Global Limited has completed its mandatory unconditional cash offer for Maxicity Holdings Limited, closing the offer at 4:00 p.m. on 13 August 2026 without revision or extension.

Seven valid acceptances were received for 33.98 million shares, representing 8.50% of Maxicity’s issued share capital. Based on the offer price of HK$0.6545 per share, total consideration reached HK$22.24 million. Remittances to accepting shareholders are scheduled to be dispatched no later than 24 August 2026.

Following completion, GreenAir, Ms. Zhu Liming and their concert parties now control 333.98 million shares, lifting their aggregate stake from 75.00% to 83.50%. The public float consequently declined to 66.02 million shares, or 16.50% of issued capital—below the 25% minimum required under Hong Kong Listing Rule 13.32B(1).

Maxicity will apply to the Stock Exchange for a temporary waiver and, together with GreenAir, undertake to restore the required public float “at the earliest possible moment,” with further announcements expected within 15 business days.
