On 14 February 2026, the board of directors (the “Board”) of the Company announced that Mr. Lyu Xiangyou (“Mr. Lyu”) resigned from his roles as executive director, chairman, and as chairman and member of the strategic and development committee due to work adjustment, with immediate effect on that date. According to the announcement, he confirmed having no disagreement with the Company or the Board and that there was no matter regarding his resignation needing to be brought to the attention of shareholders.
Following this development, the Board passed a resolution on 14 February 2026 appointing Mr. Zhou Shunyuan (“Mr. Zhou”) as the chairman of the Company for a term running until the expiry of the fourth session of the Board, subject to re-election and re-appointment upon term-end. Mr. Zhou, aged 51, joined the Company in February 2025 and currently serves as the Secretary to the Party Committee, an executive director, and the General Manager of the Company. He also chairs Zhongtai Huirong Capital Investment Co., Ltd. and holds positions with Shandong Zhongtai Charity Foundation, Guangzhou Futures Exchange, and the China Futures Association’s talent development professional committee.
Mr. Zhou’s professional background includes roles at Shandong Securities Co., Ltd., Tiantong Securities Co., Ltd., and Qilu Securities Co., Ltd. dating back to July 1996. He subsequently took managerial positions at multiple branches and sales offices. Between September 2015 and February 2021 he acted as general manager of the Dezhou Branch of Zhongtai Securities Co., Ltd., then served as general manager of the Dongying Branch of Zhongtai Securities until February 2025. In February 2025, he assumed the role of Deputy Secretary to the Party Committee and executive director and General Manager of the Company, followed by chairman of Zhongtai Huirong Capital Investment Co., Ltd. since April 2025. He has been Secretary to the Party Committee, executive director, and General Manager of the Company since February 2026. Mr. Zhou holds a bachelor’s degree in industrial economics from Shandong Institute of Economics and a master’s degree in business administration from Shandong University.
The announcement states that Mr. Zhou has no other directorships in listed companies over the past three years, no relationship with any Director, senior management, substantial shareholder, or controlling shareholder of the Company, and no interest in Company shares as defined in Part XV of the Securities and Futures Ordinance. There is no information required to be disclosed pursuant to Rules 13.51(2)(h) to (v) of the Listing Rules, nor other matters relating to his appointment that need to be brought to shareholders’ attention. Mr. Zhou will not receive any emoluments from the Company for his role as Director.
