中国城市基础设施集团有限公司(股份代号：2349)宣布，旗下全资附属公司深圳华峰基础设施投资有限公司于2026年2月10日(交易时段后)与前海结算股份有限公司签订有条件买卖协议，拟收购深圳市智联飞创科技有限公司(目标公司)60%的股权，交易对价为3,300万港元。

根据公告，3,300万港元将以可换股债券的形式支付，换股价初步确定为每股0.30港元。若可换股债券全部转换，将发行共1,100万股转换股份，约占公司目前已发行股本的0.352%，并占配发完成后已发行股本的约0.350%。该转换股份将根据一般授权发行，并与现有已发行股份享有同等地位。

公告显示，目标公司是一家专注于AI人工智能技术与商业赋能的企业。其截至2024年及2025年12月31日止两个年度的未经审计财务数据显示，分别录得除税后净亏损4,239千港元及715千港元。收购完成后，买方及卖方将分别持有目标公司60%及40%的股权。
