北海康成-B（股票代码：01228）于港交所发布公告，董事会建议在股东周年大会上寻求授权，回购不超过公司已发行股份（不含库存股）总数10%的股份。以截至公告日公司已发行股份总数约5.97亿股测算，上限为回购约5974.43万股。
根据公告，本次股份购回将利用可动用的营运资金或内部资源，依据开曼群岛公司法及香港联合交易所有限公司证券上市规则合法进行。公司表示，倘若完成回购，总体目标在于提升资产净值与每股收益水平，并为股东提供更佳回报。董事会认为实施股本回购符合公司及股东的整体最佳利益。
公告同时披露，自2025年6月至2026年5月，北海康成-B股价于港交所的最高交易价约为3.50港元，最低交易价约为0.14港元。本次购回方案尚待2026年6月23日上午9时召开的股东周年大会审议通过。为核定有权出席并于会上投票的股东身份，公司将于2026年6月17日至6月23日暂停办理股份过户。董事会表示，上述交易将视公司资本状况与市况而定，若行使回购授权后影响营运资金或资本结构，将审慎评估行使安排。
