Pinestone Capital Limited (PINESTONE) announced the successful completion of its share placement on 19 August 2026. All conditions under the placing agreement, first disclosed on 29 July and 21 August 2026, have been satisfied, leading to the allotment and issuance of 7.89 million new shares at HK$5.22 each.

The transaction generated gross proceeds of HK$41.19 million and net proceeds of approximately HK$39.13 million after deducting commissions and related expenses. The company plans to allocate the net proceeds as follows: • Provision of margin financing: HK$15.65 million (40.00%) • Application for virtual asset licence and expansion of AI implementation: HK$15.65 million (40.00%) • Provision of money lending: HK$3.91 million (10.00%) • General working capital enhancement: HK$3.91 million (10.00%)

Post-placement, the 7.89 million shares account for 12.95% of the pre-placement issued shares and 11.47% of the enlarged share capital, which now stands at 68.80 million shares. No placee became a substantial shareholder upon completion. The revised ownership structure is: • Group Target Limited: 5.76 million shares (8.37%) • Ultimate Vantage Group Limited: 4.84 million shares (7.04%) • Placees: 7.89 million shares (11.47%) • Other public shareholders: 50.31 million shares (73.12%)

The board confirms that each placee and its ultimate beneficial owners are independent third parties. The announcement was authorised for release by Co-chairman and Executive Director Lee Chun Tung on 25 August 2026.
