Landrich Holding to Convene 4 September 2026 AGM; Proposes 20% Issuance Mandate and 10% Share Buyback

Landrich Holding Limited will hold its Annual General Meeting (AGM) on 4 September 2026 at 11:00 a.m. at Portion 2, 12/F, The Center, 99 Queen’s Road Central, Hong Kong. Shareholders recorded on 4 September 2026—following a books-closure period from 1 to 4 September—are entitled to attend and vote.

Key resolutions to be tabled include:

• Financial Statements and Reports: Approval of the audited consolidated financial statements and the directors’ and auditors’ reports for the year ended 31 March 2026. • Auditor Re-appointment: Renewal of HLB Hodgson Impey Cheng Limited’s mandate as external auditor, with the board authorised to fix its remuneration. • Board Composition: Re-election of Mr Tsui Kai Kwong as Executive Director and Mr Lee Kin Kee as Independent Non-Executive Director; authorisation for the board to determine directors’ remuneration. • General Issuance Mandate: Authorisation for the board to allot, issue or deal with additional shares up to 20 % of the company’s issued share capital (excluding any treasury shares) during the mandate period, including related offers, options and convertible instruments. • Share Repurchase Mandate: Approval for the company to repurchase up to 10 % of its issued shares (excluding any treasury shares) on the Hong Kong Stock Exchange or other recognised exchanges during the mandate period. • Mandate Extension: Conditional extension of the issuance mandate by the number of shares repurchased under the buyback authority, effectively allowing potential issuance of up to an additional 10 % of issued shares.

Landrich’s board currently comprises three executive directors—Mr Tsui Kai Kwong (Chairman), Mr Tsui Tsz Yeung Ian and Ms Tsui Wai Yeung Janis—and three independent non-executive directors: Mr Lee Yan Kit, Mr Lee Kin Kee and Mr Kwong Ping Man.
