BETTERLIFE HLDG Sets 29 May 2026 AGM, Proposes RMB0.020 Final Dividend and 20% Issuance Mandate

BetterLife Holding Limited will convene its 2026 Annual General Meeting (AGM) on 29 May 2026 at 10:00 a.m. in Beijing (No. 143 The 4th West Wing North Road, Haidian District). Shareholders will vote on the following key items:

• Financial Statements and Dividend: The Board will seek approval for the audited consolidated financial statements and directors’ and auditor’s reports for the financial year ended 31 December 2025. A final dividend of RMB2.0 cents per ordinary share—payable from the share premium account—is recommended. Shareholders on the register between 5 June and 10 June 2026 (record date: 4 June 2026) will be entitled to this dividend.

• Board Composition: Re-election of Ms. Sun Jing as Executive Director and Mr. Lou Sai Tong as Independent Non-executive Director. The Board will be authorised to determine director remuneration.

• Auditor Re-appointment: SHINEWING (HK) CPA Limited is nominated to continue as external auditor, with remuneration set by the Board.

• Capital Mandates: – General issue mandate allowing directors to allot and issue new shares or other convertible securities up to 20% of the Company’s issued share capital (excluding any treasury shares) during the mandate period. – Share repurchase mandate permitting buy-backs of up to 10% of issued shares. – Extension mandate enabling the issue mandate to be increased by the number of shares repurchased under the above authority.

• Corporate Governance Update: Shareholders will vote on adopting a third amended and restated Articles of Association, replacing the existing version.

Administrative details include: – Proxy forms must be lodged by 10:00 a.m. on 27 May 2026. – Share transfer registration for AGM voting closes at 4:30 p.m. on 22 May 2026. – All AGM resolutions will be decided by poll in compliance with Hong Kong Listing Rules.

The Company will dispatch a circular containing detailed information on resolutions 2–6 along with the 2025 annual report on 17 April 2026.
