H&H国际控股（01112）发布公告称，公司拟在即将召开的股东周年大会上授予董事一般授权，可于授权期限内回购不超过已发行股本（不含库存股份）10%的股份。根据公告显示，截至最后可行日期，公司已发行股份总数约为645,561,354股，若该授权获得股东通过，回购规模上限约为64,556,135股。
公司表示，购回资金将来自其可合法动用的内部资源，符合开曼群岛法律及上市规则的相关规定。董事会指出，若视乎当时市况及资本安排适宜行使授权，将有利于提升股东回报并优化公司资本结构。董事会认为，此举符合公司及全体股东的整体最佳利益。
该回购授权议案计划于2026年5月15日举行的股东周年大会上审议。公司提示，如回购议案获股东通过，回购股份将视实际情况按法定程序予以注销或作为库存股份持有。根据此前公告，期间涉及的任何股份过户事宜将按公司已公布的暂停过户日期进行。
