Kingmaker Footwear Holdings Limited granted 1.29 million existing shares on 15 September 2026 under its Share Award Scheme, following Remuneration Committee endorsement and Board approval. The shares, acquired by the scheme’s trustee in the open market using internal resources, carry nil consideration for 15 grantees and are valued at HK$0.54 million based on the grant-day closing price of HK$0.42 per share.
The award equals 0.19% of Kingmaker’s issued share capital and will not create dilution because the shares were previously purchased by the trustee. All shares vest in full on 15 September 2026, contingent upon each recipient remaining a non-executive director or employee on that date and completing transfer documentation. No performance targets apply. Unvested shares lapse if the grantee leaves the group, the employing subsidiary ceases to be a subsidiary, or the company enters winding-up.
Award allocation • Connected persons: 588,000 shares – Mr. Wong Hei Chiu (Vice Chairman, Executive Director, CFO & Company Secretary): 288,000 – Mr. Chan Ho Man, Daniel (Non-executive Director): 80,000 – Mr. Lai Chi Hang (Group Financial Controller and subsidiary director): 220,000 • Other employees: 704,000 shares
Regulatory status • Grants to directors form part of existing remuneration packages and are exempt from additional reporting and shareholder approval under Listing Rules 14A.73(6) and 14A.95. • The grant to connected person Mr. Lai Chi Hang is fully exempt under Listing Rules 14A.73(1) and 14A.76(1) as the applicable percentage ratios are below 0.1%. • No individual grantee exceeds the 1% award limit, none is a related-entity participant or service provider, and no financial assistance was extended for share purchases.
Share scheme capacity After this grant, 53.56 million shares remain available for future awards. The trustee continues to hold 9.91 million shares in reserve for the scheme.
Strategic rationale The Board states that the awards serve as part of the discretionary bonus for the fiscal year ended 31 March 2026, recognising past contributions, enhancing retention, and aligning employee interests with long-term group performance.
