Value Convergence Holdings Limited (VC Holdings) confirmed that its eight-member board remains single-gender, leaving the company non-compliant with Rule 13.92 of the Hong Kong Listing Rules, which prohibits single-gender boards.

Management stated that a recruitment process is under way to identify a qualified female director who meets all regulatory and experience requirements. The company aims to finalize the appointment within the third quarter of 2026, aligning with both Rule 13.92 and Corporate Governance Code provision B.3.5 on board diversity.

The current board comprises five executive directors—Co-Chairmen Wong Kam Fat, Tony and Zhang Li, along with Fu Yiu Man, Peter, Lin Hoi Kwong and Chai Nan—and three independent non-executive directors—Wong Chung Kin, Quentin, Siu Miu Man, MH and Au Tin Fung, Edmund.

VC Holdings reiterated its commitment to achieving a balanced and diverse board and will issue further announcements once a suitable female candidate is appointed.
