中国安储能源（02399）发布2025年年报补充公告　明确购股权计划细则

2026年8月21日，中国安储能源集团有限公司（02399）在港交所披露《截至2025年12月31日止年度年报之补充公告》，就此前年报中涉及的购股权计划补充关键信息。

公告要点如下：

1. 购股权行使期 • 行使期由董事会确定，可自购股权授出日起计最长不超过十年，并受提前终止条款约束。 • 原则上，购股权的归属期不少于自接纳要约日起的12个月。

2. 可酌情缩短归属期的四种情形 (i) 向新入职者授出“补偿性”购股权，以替代其在前雇主处被没收的股份奖励或购股权； (ii) 因行政及合规原因需在一年内分批授予，以反映原应授出时间； (iii) 采用混合或加速归属安排，允许在12个月内平均归属； (iv) 设有以业绩为基础、非时间递进的归属条件。

3. 购股权接纳费用 • 参与者需在购股权提呈日期后30日内向公司支付1港元以接纳购股权。

4. 可予发行股份总数 • 根据上市规则第17.09(3)条，购股权计划下可予发行的股份总数为395,690,000股，占公司于年报日期已发行股本（不含库存股）的11.1%。

公司董事会确认，本次补充资料不影响2025年年报的其他内容。公司提醒股东及潜在投资者，于买卖本公司股份时应保持谨慎。
